Cooperative Utility Liability in Colorado



Liability Rules

  • Corporate Shield: Utility associations in Colorado are typically organized as non-profit corporations, cooperatives, or limited liability entities. Under Colorado law, a judgment against the organization itself attaches to the assets of the organization (eg., insurance), not to the personal assets of individual members or customer-owners.
  • Statutory Protection: Per Colorado statutory frameworks governing associations and non-profits (such as C.R.S. § 7-30-108 [C.R.S. § 7-30-108 states that a judgment or order against an unincorporated nonprofit association is not by itself a judgment or order against any member or person considered a member] for non-profit/unincorporated structures and general corporate liability protections), a judgment against an entity cannot be satisfied directly out of a member's personal property unless a separate judgment exists against that specific individual for their own wrongful conduct.
  • Indirect Financial Impact: While individual members are not personally liable for a lawsuit or debt, a massive judgment against a cooperative utility could theoretically impact the financial health of the organization. This might influence future operational costs or rates, but it does not create a direct legal debt or collection obligation for individual members..
